3.1 The Party shall take part in democratic electoral processes. It intends to contest Westminster and European parliamentary elections, local elections, etc.  
3.2 In the furtherance of its aims, the Party may:

3.2.2 invest any monies of the Party not immediately required, in accordance with the Trustee Act of 1925 and;  
3.3.3 do all such other lawful things as are necessary for the attainment of the Party’s aims.  

Membership

4 MEMBERSHIP  
4.1 Membership is open to citizens of the United Kingdom and resident foreign nationals who share its aims and who are not members of any organisation which the Board of Governors ("Board") has declared is incompatible with membership of the Party.  
4.2 Members must pay membership fees as set by the National Executive Committee ("NEC"), as described in Section 5.  
4.3 Members shall not act in a manner which brings the party into disrepute or is likely to bring the party into disrepute. If a member is suspected of behaving in such a fashion he/she will be asked to explain their actions to a disciplinary committee formed by the Board of Governors ("Board") as per the arbitration and disciplinary rules of Section 11.  
4.4 Members appointed or elected to a position shall automatically be relieved of their title and responsibilities should they be found to be absent for a period exceeding 28 days without prior notice. Members appointed or elected to a position may be relieved of their title and responsibilities should the Board find them to be absent for a period exceeding 28 days without prior notice. Clarifying that this isn't something that happens without intervention, but requires the Board to specifically declare an appointed/election person as awol.

NEC

5 THE NATIONAL EXECUTIVE COMMITTEE  
5.1 The NEC shall initially comprise the Elected Officers (the Party Leader, Treasurer, Campaigns Manager, Data Controller and Nominating Officer) together with members selected in accordance with rules to be made by the NEC from time to time. The NEC shall be comprised of the Elected Officers (the Party Leader, Treasurer, Campaigns Manager, Nominating Officer, and Party Secretary) with full voting rights. DC->PS rename
  The Elected Officers of the NEC may appoint additional officers in a non-voting capacity to help them as they see fit. Appointed Officers have none of the rights of an Elected Officer of the NEC and may be removed by the Elected Officers of the NEC at any time. Appointed Officers are subject to the same Arbitration and Disciplinary procedures as Elected Officers. Previous clause removes the awkward wording that NEC can select new members and this clause replaces that to clarify these selected members are not full voting members, and also that they can be VONCed.
5.2 At any time, members of the NEC may be submitted to a vote of no confidence as per Section 11.  
5.3 A new election for each Elected Officer role will be held as per the rules in Section 10.  

Financial Obligations

6 FINANCIAL OBLIGATIONS  
6.1 The Treasurer shall be responsible for accounting requirements and control of donations, as described in Parts III and IV of the Political Parties, Elections and Referendums Act 2000 and other relevant legislation.  
6.2 The Campaigns Officer shall be responsible for campaign expenditure, third party expenditure and referendums, as described in Parts V to VII of the Political Parties, Elections and Referendums Act 2000 and other relevant legislation.  

Dissolution

7 DISSOLUTION OF THE PARTY  
7.1 The party may be dissolved by a simple majority of members making clear their wish to dissolve the party. Any assets belonging to the party at the time of dissolution will be donated to a registered charity of the NEC’s choosing.  

Board

8 THE BOARD OF GOVERNORS  
Structure  
8.1 The Board of Governors shall consist of up to 12 Governors.  
8.2 The working practices of the Board shall be outlined in a separate Code of Practice to be maintained and published to members by the Board.  
Board Elections  
8.3 All Governors must be elected as per the rules outlined in Section 10.  
8.4 The Board is responsible for proposing constitutional amendments and presenting them for ratification by a full vote of members at such times as they feel appropriate and as outlined by the Board's Code of Practice.  
Arbitration and Disciplinary Functions  
8.5 The Board is the final body of arbitration, appeal, and discipline for the Party.  
8.6 The Board will carry out its arbitration and disciplinary functions as detailed in Section 11.  
Other Duties  
8.7 The Board may have other governance responsibilities that are as yet undefined in this constitution.  

RAOs

9 REGIONAL ADMINISTRATIVE OFFICERS REMOVE RAOs totally removed.
9.1 Dependent upon candidates being available a Regional Administrative Officer ("RAO") will be elected for each of the 12 regions of the UK (as per: European Parliamentary Elections Act 1999 Section 1.2.2 and 1.2.3 and Schedule 1 Section 1) one for Scotland, one for Wales, and one for Northern Ireland, and nine for England. Officers will be elected as per the rules in section 10. REMOVE RAOs totally removed.
9.2 Each RAO is responsible for the overseeing of the efficient operation of the Party at regional and local levels, including (but not limited to) the organisation of meetings, local campaigns and fund raising, support for Party candidates in their region, and co-ordinating with the National Campaigns Team. 9.3 RAOs may appoint their own regional teams to take on wider administrative duties within the region on the understanding that the NEC or Board can veto such appointments and may have conditions and requirements on the appointing of certain regional staff roles. REMOVE RAOs totally removed.

Nominations  
10.3 When an election is due, the NEC will announce the opening of nominations. The nomination period must remain open for a period of no less than 14 days, and normally no more than 31 days. The duration of the nominations period must be no less than 14 days, and no more than 31 days. This duration may not be altered except as defined below. Election Terms  
10.10 Elections must be held no less frequently than every 25 months for all positions on the NEC irrespective of how long each officer has been in post.

Electorate  
10.13 All party members in Good Standing (as defined in Section 11) are eligible to vote in all elections unless otherwise specified in this constitution.  
10.14 Elections for RAOs are conducted at regional level by a regional electorate. Party members will be eligible to vote in the region in which they are registered to vote in EU elections. REMOVE
Extra-ordinary Elections  
10.15 When an elected position is vacant an election process for the position will be held following the rules in section 10 corresponding to the position and within 30 days of the position being vacated or as soon as a candidate is proposed, whichever is the longer period. When an elected position is vacant outside of the normal election terms an election process for the position will be held for the position following the rules in section 10. These extra-ordinary procedures should ordinarily begin within 30 days of the position becoming vacant. Current clause doesn't say what it should.
Election Procedures  
10.16 The NEC and Board are responsible for making sure all election and vote procedures are followed.  
10.17 Prior to initiating an election, the Board will appoint a neutral team of election monitors to ensure all elections proceed fairly. This team must contain someone who is neither a candidate standing for election, a member seconding a candidate, nor be currently serving on the Board or the NEC.  

Arbitration and Discipline

11 ARBITRATION AND DISCIPLINE  
Incompatible Memberships  
11.1 If a member of the Party subsequently joins an organisation which the Board declares to be incompatible with membership of the Party, or if the member is found to be a member of such an organisation then the Board may revoke their membership of the Party without return of membership fees.  
Votes of No Confidence  
11.2 A vote of no confidence in any elected official will be triggered when either 10% or more of the fully paid-up membership or over 50% of the Governors make their desire for a vote of no confidence known to the Board.  
11.3 Additionally a vote of no confidence in a member of the NEC will be triggered when over 50% of the voting NEC members make their desire for a vote of no confidence known to the Board.  
11.4 Additionally a vote of no confidence in a RAO will be triggered when 10% of the regional membership make their desire for a vote of no confidence known to the Board. REMOVE RAO totally removed.
11.5 When a vote of no confidence has been triggered the Board will arrange for a vote of party members to ascertain the confidence of the electorate in the elected official, which will conclude within at most 28 days. The officer will be dismissed if a simple majority of eligible members who take part in that vote, vote in favour of dismissal, subject to a quorum of 10% of eligible members.  
Voting Eligibility for Votes of No Confidence  
11.6 The eligibility of a member to vote in a particular vote of no confidence will be based upon whether that member would be eligible to vote for the election position as per rules in Section 10.  
Disciplinary and Arbitration Panels  
11.7 When a disciplinary or arbitration panel is formed, the Board will select 5 of the Governors (as per its code of practice) to sit on the panel.  
Good Standing  
11.8 A member is regarded as being in Good Standing if they are a paid up member and have not had their position of Good Standing stripped from them.

Guidance

Important Guidance and Notes:

The table below shows the relationship of proposed constitutional alterations to the current constitution. Column one (Current Clause) shows the current constitution excepting the ocasional note within angular brackets. Column two (Proposed Alteration) shows the proposed alteration whether it be an alteration, deletion, or insertion. Taking both columns together, the green background cells shows the complete full proposed new constitution should eveny clause be passed. Red background show all proposed removals. The third column (Vote Question) shows the individual question relating to the amendment, along with rough guidance as to the nature or relationship of the clause.

The numbering of clauses within the constitution serves as a guide the the order in which clauses reside. Any combination of voting upon amendments that would cause clause numbers to be skipped or duplicated will result in clauses being renumbered in such a way as to ensure that they maintain their position relationship in respect to other clauses as shown below in columns 'Current Clause' and 'Proposed Alteration' an Table 1.

Where a proposed amendment is dependant upon one or more other clauses, they will be voted upon as a single question. This will require them being presented together as a single question, but they will be clearly identified by clause numbers showing their order and position within the constitution. If accepted they will be inserted into the constitution in order and position as showin in Table 1.

Where a clause refers to but is not wholly dependant upon one or more other clauses, and is voted upon independantly, the Board reserves the right to edit the clause text solely for the purpose of removing references that no longer make sense , e.g. delete the text "as described in Section 5" if the relevant clauses in Section 5 have not been passed. These edits may only be done to improve the readability of the clause, and must not in any way change the substance and intention of the clause.

Where a set of one or more clauses is functionally dependant on one or more other sets of clauses, this will be clearly indicated within the question vote e.g. "Functionally dependant upon clause X in vote question Y". In such cases if the dependant clause is not passed the depender clause can not and will not enter the constitution, even if would receive enough votes to do so.
